Welcome to Agentic Hierarchy-Aware Chunker ("the Service"), provided by CODE AXION ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our API, website, and services.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Definitions

  • "Service" refers to the Agentic Hierarchy-Aware Chunker API, which processes raw content and returns hierarchy-aware chunks.
  • "User," "You" refers to the individual or entity that creates an account and uses the Service.
  • "Input Content" refers to the raw content and any other data you submit to the Service via the API.
  • "Processed Content" refers to the hierarchy-aware chunks and any other output generated by the Service from your Input Content.
  • "BYOK" stands for "Bring Your Own Key," the model where you provide your own API keys for third-party Large Language Model (LLM) providers.
  • "Tokens" are the units used to measure the size of the Input Content for billing purposes.

2. The Service

2.1. Service Description: The Service provides an API that accepts Input Content. Using our proprietary parsers and LLM inference (facilitated by your BYOK), the Service generates Processed Content optimized for Retrieval-Augmented Generation (RAG) models.

2.2. BYOK (Bring Your Own Key) Model: The Service requires you to provide a valid API key from a third-party LLM provider (e.g., OpenAI, Anthropic, Google).

  • You are solely responsible for all costs, usage limits, rate limits, and compliance with the terms of service of your chosen LLM provider.
  • We are not a party to your agreement with your LLM provider and are not liable for any issues arising from their service, including downtime, API changes, errors, or costs incurred.
  • We do not charge you for the LLM inference costs; our billing is based solely on the processing of Input Content Tokens.

3. User Accounts

3.1. Registration: To use the Service, you must create an account, providing accurate and complete information.

3.2. Account Security: You are responsible for safeguarding your account credentials, including your password and API access keys issued by us. You are also responsible for the security of your third-party LLM API keys. You agree to notify us immediately of any unauthorized use of your account.

4. Billing, Payments, and Tokens

4.1. Token-Based System: The Service operates on a pre-paid, token-based model. You purchase a plan that includes a specific number of Tokens.

4.2. Token Consumption: Tokens are deducted from your account balance based on the size of the Input Content you submit to the API.

4.3. Token Limits: Each plan has a fixed Token limit. Once your Token balance is depleted, your access to the API will be suspended.

4.4. Recharging: To continue using the Service after your Tokens are depleted, you must purchase a new plan or recharge your account.

4.5. Payment Processing: * Currently, all international payments are processed through PayPal. You agree to abide by PayPal's terms of service. * We do not store your full credit card or financial details.

4.6. Future Billing and Payment Models: We are actively developing new billing and payment options. We reserve the right, at our sole discretion, to introduce new billing models, such as usage-based billing, and additional payment methods, such as UPI for Indian-based transactions, in the future. We will provide notice of any significant changes to our billing model.

4.7. No Refunds: All payments are final and non-refundable.

4.8. Taxes: You are responsible for all applicable taxes, duties, or levies on the fees you pay for the Service.

5. User Responsibilities and Acceptable Use

5.1. Your Content: You retain all ownership rights to your Input Content and the resulting Processed Content. You are solely responsible for the legality, accuracy, and appropriateness of your Input Content.

5.2. Prohibited Activities: You agree not to use the Service to:

  • Upload or process any content that is unlawful, harmful, or infringes on the intellectual property rights of others.
  • Reverse-engineer, decompile, or attempt to discover the source code of the Service.
  • Disrupt or place an unreasonable load on the Service's infrastructure.
  • Use the Service for any purpose other than its intended use.

6. Intellectual Property

6.1. Our IP: We own all rights, title, and interest in and to the Service, including our website, API, custom parsers, software, and documentation.

6.2. Your IP: You own all rights, title, and interest in and to your Input Content and the Processed Content generated from it. You grant us a limited, non-exclusive, worldwide, royalty-free license to use, process, and transmit your Input Content solely for the purpose of providing the Service to you.

8. Disclaimers and Limitation of Liability

8.1. "AS IS" Service: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL [YOUR COMPANY NAME], ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

9. Modifications to the Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website or by sending you an email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

10. Governing Law

These Terms shall be governed by the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in India.
